1. PURPOSE AND SCOPE
This Acceptable Use Policy ("AUP") governs the use of all products, services, and technologies provided by
Overturn LLC under the VidSell brand (collectively, the "Services"). This AUP applies to all Customers
(registered account holders) and, by extension, to End Users — the individuals who interact with any pages,
communities, courses, checkout flows, or other features that Customers create and operate using the
Services.
This AUP is incorporated by reference into the VidSell Terms of Service. By using the Services, you agree to
comply with this AUP. Violations may result in suspension or termination of your account and, where required
by law, reporting to appropriate authorities.
This AUP was last reviewed and updated on February 23, 2026.
2. CUSTOMER ACCOUNTABILITY
Customers are responsible for their own conduct and for ensuring that all End Users of their VidSell-powered
pages, communities, courses, and flows comply with this AUP. This responsibility extends to:
- Any content Customers publish, host, or distribute through the Services.
- All communications sent to End Users via the Services, including email notifications and push
notifications through the Engage feature.
- Transactions facilitated through VidSell's checkout features using Stripe Connect.
- The conduct and content of any community Customers operate using the Engage feature.
- Any End User's actions that result from a Customer's failure to implement reasonable access controls or
content moderation.
Complaints regarding a Customer's use of the Services, or the actions of their End Users, will be directed to
the account holder. We reserve the right to take immediate remedial action, including service suspension,
without prior notice in cases of serious violations.
3. PROHIBITED CONTENT
The Services may not be used to create, host, distribute, sell, or facilitate access to any content that:
3.1 Illegal or Harmful Content
- Violates any applicable local, national, or international law or regulation.
- Depicts, promotes, or facilitates child sexual abuse material (CSAM) or any content that sexually
exploits minors in any way. In accordance with 18 U.S.C. § 2258A, we will report any apparent
violations involving CSAM to the National Center for Missing and Exploited Children (NCMEC) and
cooperate with law enforcement. Accounts involved in such violations will be terminated immediately and
permanently without notice or refund.
- Constitutes illegal obscenity under applicable law.
- Promotes, facilitates, or glorifies violence, terrorism, or acts of mass harm.
- Infringes any third-party intellectual property rights, including copyright, trademark, or trade
secrets.
- Defames, harasses, threatens, or invades the privacy of any individual.
- Violates any person's rights of publicity or privacy.
3.2 Deceptive or Fraudulent Content
- Contains false, misleading, or deceptive claims about products, services, prices, endorsements, or
results.
- Constitutes phishing, identity theft, or impersonation of any individual, company, or brand.
- Facilitates investment fraud, pyramid schemes, multi-level marketing that violates applicable law, or
any Ponzi scheme.
- Makes income, earnings, or results claims that are unsubstantiated, exaggerated, or misleading under
applicable consumer protection law (including FTC guidelines).
- Promotes or facilitates unauthorized access to third-party systems, accounts, or data.
3.3 Regulated or High-Risk Products and Services
Customers may not use the Services to sell or promote any of the following without having all required
licenses, permits, and legal compliance mechanisms in place:
- Firearms, ammunition, or weapons of any kind.
- Controlled substances, prescription medications, or products making unapproved health claims.
- Alcohol or tobacco products where such sales are restricted.
- Financial services products subject to regulatory licensing requirements (e.g., securities, insurance,
lending) without the required licenses.
- Any product or service targeted at individuals under 18 where age verification is required by law.
Additionally, the Services may not be used for: illegal gambling; narcotics or arms trafficking; the
development or promotion of weapons of mass destruction; or activities supporting or affiliated with
designated terrorist organizations.
3.5 Sanctions and Export Controls
You may not use the Services in violation of any applicable trade sanctions, export control laws, or embargo
programs, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets
Control (OFAC), the U.S. Department of Commerce's Bureau of Industry and Security (BIS), or equivalent
authorities in other jurisdictions. You represent and warrant that you are not: (a) located in, organized
under the laws of, or a resident of any country or territory subject to comprehensive U.S. sanctions
(currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b)
listed on any U.S. or applicable government restricted party list, including the OFAC Specially Designated
Nationals (SDN) list; or (c) owned or controlled by any such restricted person or entity.
3.4 Adult Content
Explicit sexual content is prohibited on the Services by default. If you believe your use case may involve
mature content, contact us at support@zeruapps.com prior to use.
We do not accommodate CSAM under any circumstances.
4. PROHIBITED COMMUNICATIONS (EMAIL AND PUSH
NOTIFICATIONS)
The Engage feature enables Customers to send email notifications and push notifications to the End Users of
their community. VidSell is not an email marketing platform or autoresponder — the notification capability
is specifically designed for community-related communications such as announcements, new posts in community
spaces, and activity updates.
The consent basis for these communications is the End User's voluntary registration into the Customer's
Engage community. By creating an account and accepting the community's terms of use at registration, End
Users acknowledge that community notifications are an inherent part of the community experience they are
joining. Customers are responsible for ensuring their community registration flow makes this clear.
This notification capability is subject to the following requirements:
- Community Communications Only: Notifications sent through the Engage feature must relate to community
activity, announcements, content, or events within the community. They may not be used to send unrelated
commercial promotions, advertising, or marketing campaigns to End Users.
- Consent at Registration: End Users' registration into your Engage community, combined with acceptance of
your community's terms of use, constitutes the lawful basis for sending community-related notifications.
You must not import or add End Users to your community outside of the normal registration flow for the
purpose of sending them notifications they did not sign up for.
- No Purchased or Imported Lists: You may not add email addresses or device tokens to your community or
notification system from third-party lists, purchased databases, or any source other than voluntary
registration through your community signup flow.
- CAN-SPAM Compliance: VidSell automatically includes an unsubscribe link and sender identification in the
footer of all community notification emails via the platform's managed email template. End Users can
also manage their notification preferences directly within their community account settings. You must
not attempt to circumvent or suppress these platform-provided compliance features.
- CASL Compliance: If sending to Canadian recipients, community registration constitutes implied consent
under CASL for non-commercial relationship messages. If your community notifications include commercial
content, you must ensure you have express consent as required by CASL.
- GDPR/UK GDPR Compliance: If your community includes EEA or UK residents, community registration and
acceptance of terms constitutes a documented consent event. You are responsible for maintaining records
of this consent and for honoring any withdrawal of consent or right-to-erasure requests from those End
Users.
- No Misleading Communications: Email subject lines and push notification titles must accurately reflect
the content of the message. You may not use notification capabilities to send misleading, deceptive, or
manipulative communications.
- Respect for Preferences: End Users may unsubscribe via the link in any email notification or adjust
their preferences in their community notification settings. You must not contact End Users who have
unsubscribed through external channels or other means in an attempt to circumvent their preference.
Violations of this section may result in immediate suspension of notification-sending capabilities and/or
termination of your account. We reserve the right to impose sending limits or request confirmation of
compliance practices at any time.
5. PROHIBITED TECHNICAL ACTIVITIES
You may not use the Services to:
- Introduce, distribute, or execute any malware, viruses, ransomware, spyware, Trojan horses, or any other
malicious code.
- Conduct or facilitate denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks against
any target.
- Engage in port scanning, network sniffing, packet spoofing, or any unauthorized network probing.
- Attempt to gain unauthorized access to any system, network, account, or data — including systems
belonging to us, other Customers, or third parties ('hacking,' 'cracking,' 'phreaking,' etc.).
- Circumvent any security, authentication, access control, or rate-limiting mechanisms of the Services.
- Systematically scrape, harvest, or collect data from the Services using automated tools, bots, or
scripts without our prior written consent.
- Use the Services to test or probe for vulnerabilities without our prior written consent.
- Exceed reasonable resource usage in a manner that degrades performance for other Customers (as
determined at our sole discretion). Excessive usage may result in throttling or additional charges. See
Section 12 (Fair Use) for further details on usage expectations and our approach to high-volume
legitimate use.
- Attempt to reverse-engineer, decompile, or disassemble the application or underlying platform
infrastructure.
6. PROHIBITED COMMERCIAL PRACTICES
(CHECKOUT AND STRIPE CONNECT)
Customers using VidSell's checkout and Stripe Connect features to sell products or services must comply with
the following:
- All products and services offered for sale must be legal in the jurisdictions where they are offered and
purchased.
- Product descriptions, pricing, and delivery terms must be accurate and not misleading.
- Digital products must be delivered as described. Failure to fulfill orders constitutes a violation of
this AUP and may also violate consumer protection law.
- Refund and cancellation policies must be clearly disclosed prior to purchase.
- You may not use checkout features to facilitate money laundering, structuring, or any violation of
financial crime laws.
- You must comply with all applicable payment card industry (PCI-DSS) standards and Stripe's Terms of
Service.
- Chargebacks and disputes are your sole responsibility as the merchant of record. Excessive chargeback
rates may result in account suspension.
- You may not use misleading or coercive sales practices, including pre-checked add-on items, obscured
pricing, or false urgency/scarcity claims.
Customers selling products through the Services are acting as the merchant of record. VidSell is not a
payment processor and bears no liability for disputes between Customers and their End Users.
7. ENGAGE COMMUNITY STANDARDS
Customers who operate a VidSell Engage community are responsible for establishing and enforcing community
standards. At a minimum, you must ensure that your community does not:
- Allow or facilitate any content or conduct that would violate this AUP.
- Harass, bully, threaten, or discriminate against any member based on race, ethnicity, national origin,
religion, gender, gender identity, sexual orientation, disability, or any other protected
characteristic.
- Allow minors to access age-restricted content.
- Be used as a platform to organize or promote illegal activity.
- Host content that violates the intellectual property rights of third parties.
We reserve the right to suspend or shut down any Engage community that violates this AUP, without liability
to the Customer.
We aim to respond to reported community content violations within 72 hours of receiving a complete report. In
cases involving imminent harm, illegal content (including CSAM), or threats of violence, we may take
immediate action — including content removal and account suspension — without prior notice to the Customer.
8. COURSE AND DIGITAL PRODUCT CONTENT STANDARDS
Content published through VidSell's course feature must comply with this AUP. In particular:
- Course content must not contain or facilitate access to any prohibited content described in Section 3.
- Health, medical, financial, or legal content must include appropriate disclaimers and must not
constitute unlicensed professional advice.
- You must have the rights to all content used in your courses, including videos, images, documents, and
third-party materials.
9. IMPERSONATION AND BRAND MISUSE
You may not use the Services to impersonate Overturn LLC, VidSell, or any of their employees,
representatives, or partners. You may not represent a significant business relationship with or endorsement
by Overturn LLC that does not exist. You may not use the VidSell brand, logo, or trademarks in a way that
suggests official affiliation without our prior written consent.
10. CONSEQUENCES OF VIOLATIONS
If we determine, in our sole discretion, that you or your End Users have violated this AUP, we may take any
or all of the following actions:
- Issue a warning and request immediate remediation.
- Temporarily suspend access to specific features (e.g., notification sending, video hosting, checkout).
- Suspend your account in its entirety, with or without prior notice, depending on the severity of the
violation.
- Permanently terminate your account without refund.
- Remove or disable access to offending content.
- Report conduct to law enforcement or regulatory authorities where required or appropriate.
- Pursue legal action for damages where applicable.
Service credits will not be issued for interruptions resulting from AUP enforcement actions.
11. REPORTING VIOLATIONS
If you become aware of any use of the Services that appears to violate this AUP, please report it to us at:

Please include a description of the activity, the URL or account involved, and any supporting evidence. We
take all reports seriously and will investigate promptly.
12. FAIR USE
We provide the Services with the expectation that usage will be consistent with the plan you have subscribed
to. If your usage is determined to be excessive or materially outside the norms of your subscription tier,
we may contact you to discuss adjustments, apply additional charges as described in our pricing, or restrict
capacity. We will make reasonable efforts to notify you before taking such action.
13. MODIFICATIONS TO THIS POLICY
We reserve the right to modify this AUP at any time by publishing a revised version at https://www.vidsell.io/legal-acceptable-use.
Material changes will be communicated to active Customers via email or in-app notification at least 30 days
before the changes take effect. The revised version will be effective from the earlier of: (a) the date you
use the Services after the revised version is published and the 30-day notice period has elapsed; or (b) 30
days after publication. Your continued use of the Services after the effective date constitutes acceptance
of the revised AUP.
14. GOVERNING TERMS
This AUP is incorporated into and governed by the VidSell Terms of Service. In the event of any conflict
between this AUP and the Terms of Service, the Terms of Service shall control.
